Client Responsibilities

Clients are responsible for providing accurate and complete information required for the execution of our services. Failure to do so may result in delays, additional charges, or service termination. 

Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of the engagement. Confidential information shall not be disclosed to third parties without prior written consent. 

Limitation of Liability 

• We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.
• Our total liability for any claim, whether in contract or tort, shall not exceed the amount paid by the client for the service in question. 
• We do not guarantee uninterrupted or error-free operation of our software, products, or consulting services.

Warranties and Disclaimers 

• We provide our services and products "as is" without any express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement. 
• We do not guarantee specific outcomes or business success from the use of our services. 

Indemnification

Clients agree to indemnify and hold PriyaQubit Pvt Ltd harmless from any claims, damages, or expenses arising out of the client’s misuse of our services, violation of any laws, or breach of these Terms 

Termination  

• Either party may terminate a service agreement with prior written notice as per the contract terms. 
• We reserve the right to suspend or terminate services if the client violates these Terms or engages in fraudulent activities. 

Governing Law and Dispute Resolution 

These Terms shall be governed by the laws of India. Any disputes shall first be attempted to be resolved amicably. If not resolved, disputes shall be settled through arbitration in Telangana, as per applicable arbitration laws.  

Amendments 

We reserve the right to modify these Terms at any time. Changes will be communicated through our official channels, and continued use of our services constitutes acceptance of the revised Terms.
